After the campaign closes, it is important to complete the required document filing outlined by the regulators. These requirements are dependent on the amount of funds you raised and the provinces in which your new investors live.
Equivesto will work with you closely to prepare and help file these documents, but it is important that your legal counsel is also available to review all these documents prior to filing.
The offering documents mentioned below are prepared prior to the raise. The Report of Exempt Distribution is a 1-2 page document we draft on your behalf. While we can show you exactly how to do it (and do it with you), you and your legal team are responsible for filing with the regulators. There will also be a filing fee in each province of a few hundred dollars.
Required Documents:
-
Report of Exempt Distribution
-
Startup Crowdfunding Offering Document
These two documents must be filed with the securities regulator for each province in which your new investors live (Ontario, Nova Scotia, British Columbia, Alberta) within 30 Days of the round ending.
